Advertisers Agreement 1. This Agreement is made between the operator of \"WineMakingSites\" (\"The Site\") and the Advertiser who wishes to display his business profile on the Site (\"Advertiser\"), subject to the site\'s financial terms and other terms and conditions. 2. Displaying a business profile is subject to approval by the Site. Until such approval is communicated to the Advertiser, this Agreement shall not be effective. However, any use of the site by the Advertiser will be governed by the Terms and Conditions of the Site. 3. The Site uses a third party credit card clearing service. Credit card information entered on this site is directed to the said clearing service. This site is not exposed to any of the credit card payment information entered into the site. This site does not collect, store or use this information. 4. After approval of the Advertiser, the Site will open a business profile page for the Advertiser on the site in the form and style as may be adopted by the Site from time to time. The Advertiser may provide the following information on his business profile: relevant professional biographical information, address, telephone number, email and other details regarding forms of communication, and may exhibit examples of his work. The size and capacity of the business profile shall be determined from time-to-time by the Site. 5. The Advertiser shall be solely liable for the accuracy and legality of all contents and statements on his business profile and for updating them. Advertiser undertakes that all information provided by him will be true and accurate and will not be misleading. Advertiser will provide only material, including texts, video or graphics that is directly related to his products or services. Advertiser will not provide information relating to any other person, service or product or any content that is defamatory or which infringes on the right of privacy or publicity of any third party, or which is profane or vulgar or incites to violence or discrimination of the basis or race, religion, gender, age, sexual orientation or is otherwise in bad taste, or any content that infringes upon any copyright, patent, trademark, design right or any third party right. 6. The rights granted to Advertiser under this Agreement, as well as any password or accounts are personal and may not be shared by Advertiser with any third party. Advertiser may not authorize any third party to use his password or account. 7. The Site operator may, at its discretion, edit or remove any content on the site, including on Advertiser\'s business profile, if such content is in infringement of any of the terms of this Agreement, or for the purposes of ensuring consistency of format of the site and may add links between the business profile or any part thereof and any other business profile or any other part of the site. 8. Advertiser undertakes to full indemnify and hold Site operator harmless against any and all claims, suits, losses, expenses or damages of any kind incurred or suffered by Site operator as a result of any breach by Advertiser of any warranty or undertaking hereunder. 9. The Advertiser may terminate his Registration at any time by written notice to Site operator. A notice of termination served until the 15th of any month shall come into effect at the end of the said month. A notice of termination served after the 16th of any month shall come into effect at the end of the following month. 10. The Advertiser is aware that the site operator shall allow other Advertisers to use the site to advertise similar products or services as the Advertiser. 11. The Site operator may change the location or address of the Site, its design, set-up, functioning or format at any time. 12. The Site operator may cease the operation of the Site at any time upon notice to Advertiser. Advertiser shall not be obliged to pay a fee for any time after cessation of operation. 13. The Site operator shall use its best endeavors to repair any malfunction in the operation of the site as soon as possible. In the event of any malfunction which causes the site to cease to respond to users for more than 72 hours, Advertiser will be entitled to credit for any payment made for any time over said period. 14. IN NO EVENT SHALL THE SITE OPERATOR BE LIABLE FOR ANY DAMAGE, LOSS OR HARM RESULTING FROM ANY MALFUNCTION OF THE SITE OR ANY INTERRUPTION TO OR CESSATION OF COMMUNICATION WITH THIS SITE OR FOR ANY DAMAGE, LOSS OR HARM RESULTING FROM ANY VIRUSES, BUGS, WORMS, TROJAN HORSES AND OTHER HARMFUL PROGRAMS TRANSMITTED TO, THROUGH OR FROM THIS SITE BY ANY THIRD PARTY, WHETHER THE CLAIM AGAINST SITE OPERATOR IS BASED ON WARRANTY, CONTRACT, TORT, THE LAW OF PROPERTY, OR ANY OTHER LEGAL GROUNDS OR THEORY, AND WHETHER OR NOT SUCH DAMAGES ARE OR WERE FORESEEABLE OR FORSEEN BY SITE OPERATOR. THIS LIMITATION OF LIABILITY SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION. 15. Without in any way derogating from the above, Site operator may shut down the Site at any time for maintenance and repair. 16. In addition to the terms above, Advertiser shall be bound by the Terms and Conditions of the Site in so much as they are not in conflict with the terms herein. 17. The Site operator may terminate this Agreement without cause at any time and remove Advertisers business profile or any contents thereof without need for notice to Advertiser. 18. This Agreement shall be governed and construed under the laws of the state of Israel. Exclusive jurisdiction over any dispute relating to or arising out of this Agreement shall vest with the competent court in Tel-Aviv-Yaffo.
